Dear Queen of the Valley Foundation community,

On behalf of my QVF team, I want to share our committment to keeping you informed as we move forward with NorthBay Health. In March 2026, we announced that we had entered into a Letter of Intent, the first step of the process to transfer ownership of Queen of the Valley Medical Center to NorthBay Health.

Providence and NorthBay Health announced on April 9, 2026 the organizations have reached a definitive agreement to transfer ownership of Queen of the Valley Medical Center and related assets, including ambulatory clinics, in Napa County from Providence to NorthBay Health.

With a definitive agreement in place, the organizations will move into the regulatory review phase. We are launching a public-facing microsite in partnership with NorthBay Health called AdvancingNapaHealth.org that will serve as a central source of truth for the community. Pending regulatory review and approval, the transition is expected to occur by the end of 2026.

As part of the definitive agreement, NorthBay Health will make several commitments to continue The Queen’s legacy, including investing in clinical services and community benefit programs, extending offers of employment with NorthBay Health to actively employed caregivers, ensuring seismic requirements are met and supporting Queen of the Valley Foundation in its philanthropic investments in the community.

I want to reiterate that the foundation will continue as it is today – a separate not-for-profit organization supporting the health care needs of the community as it relates to Queen of the Valley Medical Center. All gifts received prior to this transformation will be honored as intended and conveyed. All future gifts will remain local and established funding initiatives underway will continue.
